This Agreement is made between BrodBridge ("We" or "Disclosing Party") and The party name listed and signed below ("You" or "Receiving Party").
By signing this Agreement, both parties agree to the following terms regarding the confidential information related to an off-market real estate transaction.
We will share certain confidential information, including property details, tenant information, financials, and transaction specifics, for the purpose of evaluating a potential purchase or transaction. This Agreement ensures that this information remains protected.
Confidential Information refers to all non-public information we provide to you, including but not limited to:
Property details (address to be disclosed after the execution of this Agreement)
Seller or tenant information
Financial records or transaction terms
You agree that you will not, without our prior written consent:
Directly or indirectly contact or communicate with any of the sellers, tenants, or other parties involved in the transaction.
Attempt to circumvent us by dealing with the seller, tenants, or anyone else related to the property on your own, without involving us.
If you breach this non-circumvention clause, you agree to pay 5% of the total purchase price or $1,000,000, whichever is greater, as liquidated damages.
You agree not to re-solicit or share any information received from us regarding the property, seller, tenants, or any other confidential details without our express written consent.
We understand that you may already have knowledge of some properties or deals through other brokers or sources. If this is the case, please notify us in writing within 48 hours of receiving the property information to avoid potential conflicts.
This Agreement does not apply to information that:
Is publicly available at the time of disclosure.
You already have prior to receiving it from us, as long as you can prove it.
This Agreement is designed to protect both parties. We are not trying to prevent you from accessing properties or deals you may already know of. We simply want to ensure that the information we provide remains confidential and that both parties benefit from working together.
This Agreement is valid for one (1) year from the date of signing or until the transaction is completed, whichever is sooner.
This Agreement will be governed by the laws of the state in which the transaction takes place.
Signing this Agreement does not obligate either party to complete a transaction.
